Terms of Service

These Terms of Service ("Terms") govern access to and use of the website potegait.com (the "Site") and the provision of services by Potega IT ("Potega IT", "we", "us", "our") to its clients ("Client", "you"). By browsing the Site, submitting our contact form, accepting a quote, or otherwise engaging Potega IT for services, you confirm that you have read, understood, and agree to be bound by these Terms.

Potega IT provides its services on a business-to-business ("B2B") basis. Our services are directed at, and intended for use by, companies, sole proprietorships, and other business entities acting in the course of their trade, business, or profession, and not at consumers acting outside such capacity. By engaging Potega IT, Client represents that it is acting in a business capacity. Where a party engages us as a consumer under applicable Norwegian law, nothing in these Terms limits any statutory right that cannot lawfully be waived.

References to a "Statement of Work" or "SOW" mean the written proposal, quote, order confirmation, or project brief agreed between Potega IT and Client for a specific engagement, which forms part of, and is read together with, these Terms. In the event of a direct conflict between a signed SOW and these Terms, the SOW prevails only with respect to the specific matter it expressly addresses.

1. Introduction & Acceptance of Terms

These Terms apply to every visitor, enquirer, and client of Potega IT. You accept these Terms, in full and without modification, at the earliest of the following moments:

If you do not agree with these Terms, you should not use the Site or engage our services. We may update these Terms from time to time in accordance with Section 10. Use of the Site and our services after an update constitutes acceptance of the revised Terms.

2. Services Description

Potega IT provides the following categories of services (together, the "Services"):

The specific scope, deliverables, timeline, and price of any engagement are set out in the applicable Statement of Work or quote. General descriptions of our Services on the Site are provided for information only and do not, by themselves, constitute a binding offer.

3. Project Quotes & Custom Work

3.1 Scope of work and fixed-price quotes

Custom development projects are carried out on the basis of an agreed Statement of Work, describing the scope of work, deliverables, key milestones, and an indicative timeline. Unless the SOW states otherwise, projects are quoted and billed at a fixed price, agreed in writing before work begins, so that Client knows the total project cost upfront. A fixed-price quote is based on the scope defined in the SOW at the time it is issued and does not include work falling outside that scope.

3.2 Change requests

Any request from Client to add, remove, or materially alter functionality, design, or scope after the SOW has been agreed ("Change Request") must be submitted in writing. Potega IT will assess each Change Request and, where it affects the agreed scope, provide Client with a revised timeline and/or price before carrying out the change. No Change Request is binding on Potega IT until it has been confirmed in writing by both parties. Client acknowledges that unconfirmed or verbal change requests actioned informally may affect delivery dates and are carried out at Client's own risk regarding cost and schedule.

3.3 Delivery and handover

Deliverables are made available for Client's review at the milestones set out in the SOW. The project is considered delivered upon Client's written acceptance of the final deliverable, or automatically after 7 business days of no response to a delivery notice, whichever occurs first. Final handover of source files, credentials, and documentation — and the transfer of ownership described in Section 4 — takes place only once Potega IT has received payment of the full and final project invoice in cleared funds.

4. Intellectual Property & Code Ownership

4.1 Transfer of ownership on payment

Subject to full and final payment of all invoices relating to a project, Potega IT assigns to Client all intellectual property rights in the custom source code, visual design, and documentation created specifically for that project ("Project Deliverables"). Prior to full payment, all intellectual property rights in the Project Deliverables remain the property of Potega IT, and any use of interim or preview versions by Client is permitted solely for review purposes.

4.2 Pre-existing materials and internal tooling

Potega IT retains ownership of any pre-existing code libraries, frameworks, boilerplate, internal tools, templates, and other materials that existed before, or were developed independently of, the project ("Pre-Existing Materials"), even where such materials are incorporated into the Project Deliverables. Where Pre-Existing Materials are included in a delivered project, Potega IT grants Client a perpetual, worldwide, royalty-free, non-exclusive licence to use, run, and modify those Pre-Existing Materials solely as part of, and for the purpose of operating, maintaining, and further developing, the delivered project.

4.3 No vendor lock-in

Potega IT does not withhold access to Client's own project for competitive reasons. On full payment, Client receives the complete, documented source code and administrative credentials necessary to operate, modify, host, or transfer the project independently of Potega IT, including with a different developer or hosting provider. Third-party components, open-source libraries, and platforms used within a project remain subject to their own respective licences.

5. Managed Hosting, Maintenance & Uptime SLA

5.1 Infrastructure and scope of care

Where Client subscribes to Potega IT's managed hosting service, the relevant website or application is hosted on dedicated Linux/Nginx infrastructure operated or arranged by Potega IT. Unless the applicable subscription plan states otherwise, this includes: routine operating-system and security updates, regular backups of the hosted application and its data, and issuance and renewal of SSL/TLS certificates.

5.2 Availability

Potega IT provides hosting on a best-effort basis and targets high availability, but does not guarantee uninterrupted or error-free operation of the hosting service, and does not offer a formally credited uptime Service Level Agreement unless separately agreed in writing. Potega IT is not liable for downtime or degraded performance caused by: (a) scheduled maintenance, for which reasonable advance notice will be given where practicable; (b) failures, outages, or degradation of upstream data centres, network providers, or cloud infrastructure outside Potega IT's direct control; (c) force majeure events; or (d) actions or omissions of Client, including misconfiguration of software Client controls directly.

5.3 Client responsibility for hosted content

Client remains solely responsible for the legality, accuracy, and appropriateness of all content, data, and software it places or causes to be placed on infrastructure hosted by Potega IT, and for maintaining its own copies of critical business data in addition to backups performed by Potega IT.

6. Fees, Billing, and Subscriptions

6.1 Project fees

Fixed-price project fees are invoiced according to the payment schedule set out in the SOW, typically as an upfront deposit followed by one or more milestone or delivery-based payments. Work on a given milestone or on the final handover may be paused if a preceding invoice remains unpaid past its due date.

6.2 Hosting and support subscriptions

Managed hosting, maintenance, and support are billed as a recurring monthly or annual subscription, payable in advance. Subscriptions renew automatically for successive periods of the same length unless cancelled in accordance with Section 6.3.

6.3 Cancellation

Either party may cancel a hosting or support subscription by giving at least thirty (30) days' written notice before the end of the then-current billing cycle. Cancellation takes effect at the end of that cycle. Fees already paid for the current billing period are non-refundable, except where required by applicable law. Following termination of a hosting subscription, Client's data will be made available for export for a reasonable period as agreed with Potega IT, after which it may be permanently deleted.

6.4 Late payment

Invoices are payable within the period stated on the invoice. Without prejudice to any other remedy, Potega IT may suspend Services, including hosting, on written notice if an invoice remains unpaid 14 days past its due date, and may charge interest on overdue amounts in accordance with the Norwegian Act relating to Interest on Overdue Payments (forsinkelsesrenteloven).

7. Limitation of Liability & Warranties

Potega IT provides the Services with reasonable skill and care, in line with normal industry practice. Except as expressly stated in these Terms or in a SOW, Services are provided without warranties of any kind, whether express or implied, including as to uninterrupted operation, fitness for a particular purpose beyond what is expressly agreed, or compatibility with future third-party changes.

8. Client Obligations & Acceptable Use

8.1 Client cooperation

Client agrees to provide, in a timely manner, all content, materials, feedback, approvals, and access credentials reasonably required for Potega IT to perform the Services. Delays in providing such items may result in a corresponding delay to project timelines, for which Potega IT is not responsible.

8.2 Acceptable use

When using any Service, including hosted infrastructure, Client must not, and must not permit any third party to:

Potega IT may suspend or restrict access to Services, with notice where reasonably possible, if it reasonably believes a breach of this Section is occurring or has occurred.

9. Governing Law & Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of Norway, without regard to its conflict-of-laws principles.

The parties will first attempt to resolve any dispute in good faith through direct negotiation between authorised representatives. If a dispute cannot be resolved amicably within a reasonable period, it will be submitted to the exclusive jurisdiction of the ordinary courts of Norway, with Oslo District Court (Oslo tingrett) as the agreed venue of first instance, save where mandatory law provides for a different venue.

10. Contact & Amendments

Potega IT may amend these Terms from time to time, for example to reflect changes in our Services, pricing structure, or legal requirements. The updated Terms will be posted on this page with a revised "Last updated" date. For clients with an active hosting, maintenance, or support subscription, we will provide reasonable advance notice of any material change by email before it takes effect. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.
